Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Scalitt B.V., a company registered in the Netherlands ("Scalitt", "we", "us"). By creating an account or using our platform at app.scalitt.com ("the Service"), you agree to these Terms. If you do not agree, do not use the Service. You must be at least 16 years of age to use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Scalitt is a B2B sales automation platform that provides AI-powered lead generation, task management, email sequences, sales coaching, pipeline management, and team analytics. The Service integrates with third-party providers for lead data enrichment, email delivery, and AI-powered features. We may update, modify, or discontinue features of the Service from time to time.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at legal@scalitt.com of any unauthorized access.

If you are an account administrator, you are responsible for the actions of all team members you invite to your workspace. You are also responsible for ensuring that your team members comply with these Terms.

4. Subscriptions & Payment

4.1 Plans and billing

The Service is available in free and paid plans. Paid plans are billed monthly or annually in advance. All prices listed on our website are in Euros (EUR) and exclude applicable VAT or sales tax, which will be added at checkout where required.

4.2 Auto-renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You can cancel auto-renewal at any time from your account settings.

4.3 Payment processing

Payments are processed securely by Stripe. We do not store your payment card details. If a payment fails, we will notify you and may suspend access to paid features after a 7-day grace period.

4.4 Refunds

Fees are non-refundable except where required by applicable law. If you cancel a paid plan mid-cycle, you retain access to paid features until the end of your current billing period.

4.5 Pricing changes

We may change pricing with at least 30 days' notice. Price changes take effect at the start of your next billing period. If you do not agree with a price change, you may cancel your subscription before it renews.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Send spam or unsolicited communications in violation of applicable laws
  • Upload malicious content or attempt to compromise the Service
  • Resell, redistribute, or sublicense the Service without our written permission
  • Interfere with the proper functioning of the Service
  • Use automated tools to scrape or extract data from the Service beyond its intended functionality
  • Exceed the usage limits of your subscription plan

6. Email Outreach & Anti-Spam Compliance

The Service allows you to send emails to prospects through your connected email accounts. You are solely responsible for ensuring that your email outreach complies with all applicable laws and regulations, including but not limited to:

  • The General Data Protection Regulation (GDPR)
  • The ePrivacy Directive and national implementations (e.g. Dutch Telecommunicatiewet)
  • The CAN-SPAM Act (for recipients in the United States)
  • Any other applicable anti-spam or electronic communications legislation

You must provide recipients with a clear way to opt out of further communications and honor opt-out requests promptly. Scalitt is not responsible for the content, targeting, or legality of emails you send through the Service. We reserve the right to suspend accounts that generate excessive spam complaints.

7. Lead Data

The Service provides access to lead and prospect data sourced from third-party data providers. This data is derived from publicly available business information and is provided for use within the Service only. You agree not to:

  • Resell, redistribute, or commercially exploit lead data obtained through the Service
  • Bulk export lead data for use outside the Service
  • Use lead data in any way that violates applicable privacy or data protection laws

Lead data accuracy is not guaranteed. Information may be outdated or incomplete. You are responsible for verifying the accuracy of any data before relying on it.

8. AI-Powered Features

The Service uses artificial intelligence to generate email drafts, analyze sales calls, provide coaching recommendations, and score leads. Regarding AI-powered features:

  • AI-generated content is provided as suggestions only. You are responsible for reviewing, editing, and approving all content before it is sent or acted upon.
  • AI outputs may contain inaccuracies. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content.
  • Coaching analyses and lead scores are advisory. They do not constitute professional advice and should not be the sole basis for business decisions.
  • You retain ownership of AI-generated content that you create, edit, or approve within the Service.

9. Call Recording & Transcription

The Service supports recording and transcription of sales calls. You are solely responsible for complying with all applicable call recording laws in your jurisdiction and the jurisdiction of the call participants. In many jurisdictions, you must inform all participants that a call is being recorded and obtain their consent. Scalitt is not responsible for any legal consequences resulting from unauthorized recording of calls.

10. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Scalitt B.V. and protected by intellectual property laws. Nothing in these Terms grants you any right to our trademarks, logos, or brand assets.

You retain ownership of the content you create using the Service, such as email templates, notes, and deal information. You grant us a non-exclusive, worldwide license to host, process, and display your content solely for the purpose of providing and improving the Service. This license terminates when you delete your content or close your account.

Lead data sourced through the Service from third-party providers remains subject to those providers' terms and is licensed for your use within the Service only.

11. Data Processing

Our processing of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

When you use the Service to process personal data of your prospects and leads, you act as the data controller and Scalitt acts as the data processor within the meaning of the GDPR. By using the Service, you agree to our Data Processing Agreement (DPA), which is incorporated into these Terms by reference. You can request a copy of our DPA at legal@scalitt.com.

As a data controller, you are responsible for ensuring that you have a lawful basis to process the personal data of your prospects and that your use of the Service complies with applicable data protection laws.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Scalitt shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the Service, including but not limited to loss of revenue, loss of data, or damages arising from reliance on AI-generated content or lead data accuracy.

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to Scalitt in the 12 months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot be excluded or limited under Dutch law, including liability for willful misconduct or gross negligence.

13. Indemnification

You agree to indemnify and hold Scalitt harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your email outreach activities, including spam complaints and anti-spam law violations
  • Your use of lead data in violation of applicable laws
  • Your recording of calls without required consent
  • Content you create, send, or distribute through the Service

14. Termination

You may cancel your account at any time from your account settings. If you cancel a paid plan, you retain access until the end of your current billing period.

We may suspend or terminate your account immediately if you materially violate these Terms, including but not limited to sending spam, misusing lead data, or engaging in illegal activity. We will notify you by email when possible.

Upon termination, your right to use the Service ceases. You have 30 days after account closure to request an export of your data by contacting us. After this period, your data will be deleted in accordance with our Privacy Policy.

Sections 6 (Email Outreach), 7 (Lead Data), 10 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law) survive termination of these Terms.

15. Force Majeure

Scalitt shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or failures of third-party service providers.

16. Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts in the Netherlands.

17. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through the Service. If you do not agree with the revised Terms, you may cancel your account before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
